THIS DOCUMENT IS AN ELECTRONIC RECORD GENERATED PURSUANT TO THE INFORMATION TECHNOLOGY ACT, 2000, AND THE RULES AND REGULATIONS FRAMED THEREUNDER, AS APPLICABLE. FURTHERMORE, THIS ELECTRONIC RECORD COMPLIES WITH THE PROVISIONS PERTAINING TO ELECTRONIC RECORDS CONTAINED IN VARIOUS OTHER STATUTES, AS AMENDED BY THE INFORMATION TECHNOLOGY ACT, 2000.

HAVEN EDGE REALTY (hereinafter referred to as "HomRoot," the "Company," "us," "we," or "our") hereby stipulates that it provides technology-based services and functions strictly as an intermediary for the purpose of facilitating the following:- (i) the arrangement of on-demand home services provided by Support Technicians, The platform facilitates the arrangement of on-demand home services by independent Support Technicians as displayed on the application. Customers are solely responsible for selecting and engaging a Support Technician of their own choice and preference. The platform, Homroot, does not participate in, control, supervise, or influence the selection, engagement, pricing, execution, or delivery of services provided by the Support Technicians and shall not be deemed a party to any agreement entered into between the customer and the Support Technician. and (ii) the facilitation of home services and general repair and maintenance services, which services are rendered by third parties through the Platform via Support Technicians (collectively, "Support Services"). iii) The User is entitled to book the services of a Service Technician based on their ownpreference regarding the specific technician, their availability, and the desired service time, utilizing the scheduling features provided on the Platform. The successful booking of a Service Technician remains subject to the technician's confirmation of availability for the time and date specified by the User on the Platform. The aforementioned services, together with other associated support activities, including but not limited to payment collection offered by HomRoot, shall be collectively referred to as the "Normal Services" and are provided exclusively by means of the Company's proprietary website and the mobile application designated as "HomRoot" (collectively, the "Platform").

The Services are offered and provided exclusively by independent third-party technicians, service providers, or other similar professionals who elect to offer such Services through the Platform (hereinafter individually and collectively referred to as the "Support Technician(s)" or "you").

It is hereby expressly clarified that within the State of Gujarat, HomRoot functions exclusively as a demand generation platform for the purpose of enabling lead generation for Support Technicians, who shall then offer and provide Home Based services directly to the respective customers.

Based upon the representations and warranties provided by the Technician, the Company has agreed to list the individual Technician on the Platform and enable the Technician to provide the Services through the Platform in accordance with the terms and conditions set forth herein and any other policy, agreement, or document made applicable or executed by the Technician for the purpose of providing the Services (collectively, the "T&Cs"). These T&Cs shall govern the relationship between the Technician and the Company throughout the provision of the Services. By signing up or registering on the Platform and offering to provide any Services, the Technician acknowledges that they have read and fully understood these T&Cs and agrees to be legally bound by them, without any limitation or qualification. If the Technician does not agree with these T&Cs, the Technician must not sign up or register on the Platform or offer any Services.

Your use of and access to the Platform is expressly conditioned upon the unconditional acceptance of all the terms, conditions, and notices contained within these T&Cs and the Privacy Policy (which is incorporated herein by reference). This requirement extends to any and all subsequent amendments or modifications made by the Company at its sole discretion and posted on the Platform from time to time.

These T&Cs (Terms and Conditions) explicitly and expressly supersede all prior agreements, arrangements, and understandings, whether oral or written, entered into with you regarding the subject matter herein.

A) SERVICES

a) The Services include the provision of the proprietary Platform, which enables you, the User, to request, arrange, and schedule various home-based services with independent third-party providers of such services (each, a "Service Technician"). Furthermore, as an essential function of the Services, homroot shall facilitate the transfer of payments to the Service Provider for the services rendered to the User and is authorized to collect all associated payments on behalf of such Service Provider.

b) The services rendered by the Support Technician are hereby referred to as "Support Services." Crucially, the term "Services" provided by homroot (or "Company") expressly excludes the Master Services. Homroot does not provide the Master Services and is not responsible for their provision. Support Technicians are solely responsible and liable for the Master Services they offer or provide through the Platform. For the avoidance of doubt, homroot and its affiliates do not employ Support Technicians, nor are Support Technicians agents, contractors, or partners of homroot or its affiliates. Support Technicians possess no authority to bind or legally represent homroot.

c) The Platform is intended strictly for your personal, non-commercial use, unless a separate, written agreement explicitly states otherwise. Please be advised that the Platform is designed and intended for use only within the territory of India. You acknowledge and agree that should you avail the Services or Master Services from a legal jurisdiction outside of India, you shall be deemed to have accepted the HomRoot (or "HR") terms and conditions specifically applicable to that foreign jurisdiction.

d) In certain instances, you may be required to furnish proof of identification to avail the Services or the Support Services(or "Master Services," dependingoncontext),and you herebyagree to comply with this requirement. A failure to furnish the requested identification may result in your inability to access or utilize the Services or the Support Services.

e) A key component of the Services involves "HR" sending you communications via text messages, electronic mail, or WhatsApp messages. These communications include, but are not limited to, those related to your bookings, your utilization of the Services, and promotional or marketing materials. While you maintain the right to opt out of receiving these text messages by contacting HR at contact@homroot.com or via the in-Platform settings, you acknowledge and agree that exercising this opt-out right may impact HR's ability to provide the full extent of the Services (or a portion thereof) to you.

f) In essence, it grants the service provider the right to request identification proof from you in certain situations in order to use the services they offer. By agreeing to these terms, you are explicitly giving your consent to provide this documentation if asked. The clause makes it clear that failure to comply with an identification request can result in the company being able to prevent you from using the Services or the Master Services. This kind of requirement is usually in place for security, verification, and legal compliance purposes.

g) Homroot acts only as a technology-based intermediary providing a digital platform to connect customers with independent Support Technicians. Homroot does not employ, endorse, guarantee, or assume responsibility for any Support Technician or the services rendered by them. All service-related decisions, including selection, scope of work, pricing, and execution, are made exclusively between the customer and the Support Technician.

(B) ACCOUNT CREATION AND ELIGIBILITY

a) Access to the Services is expressly conditioned upon the User successfully establishing a User account on the Platform (the "Account"). In the course of Account registration, the User shall be required to provide, and warrants the accuracy of, certain requisite details, which shall include, but not be limited to, the User's valid telephone number. Furthermore, and notwithstanding any other provision herein, the User must warrant that they have attained the minimum age of eighteen (18) years prior to the creation of an Account or utilization of the Services.

b) Warranty and Maintenance of Account Data: - The User hereby warrants and represents that all information, particulars, and data furnished to the Company in connection with the establishment and maintenance of the Account is, and shall continue to remain, accurate, complete, and truthful in all material respects. The User expressly undertakes the affirmative obligation to immediately and without undue delay update the Account details on the Platform following any change, amendment, or modification to the aforementioned information. Failure to maintain the veracity of the Account information shall constitute a material breach of these terms.

c) Account Security, Confidentiality, and Notification: - The User shall bear sole and exclusive responsibility for preserving the confidentiality and security of the Account credentials and any information associated therewith. The User assumes all liability for anyand all activities occurring under the Account, whether or not such activities were authorized by the User. Furthermore, the User expressly covenantsandagreestoimmediatelynotifythe Companyinwritingofanyactualorsuspecteddisclosure, misappropriation, or unauthorized use of the Account, or any other breach of security concerning the Account, without prejudice to the Company'sright to independentlyinvestigate and take remedial action. d) Liability for Account Activity and Unauthorized Access: - The User shall be fully liable and strictly accountable for all actions, transactions, and activities conducted through or originating from the User's Account, including, but not limited to, those activities executed by third parties, whether authorized or unauthorized. The Company hereby disclaims, and shall not be liable for, any losses, damages, or claims arising from or related to any unauthorized access to the User's Account or any activity resulting therefrom. This provision operates irrespective of the security measures undertaken by the User.

e) Consent to Receive Electronic Communications: - The User hereby grants express and unequivocal consent to receive communications from the Company via electronic means or otherwise, encompassing, but not limited to, the following categories of correspondence:

(i) Notifications concerning requests for payments or billing matters;

(ii) Material information pertaining to the Company's operations and the status of the Services;

(iii) Promotional offers, advertisements, and information related to services offered by the Company and its third-party partners; and

(iv) Any and all other matters directly relevant to the administration or provision of the Services.

C) USER CONTENT

(a) Permitted Submission of User Content :- The Platform may incorporate or feature interactive functionalities or services enabling Users who have duly established an Account to post, upload, publish, display, transmit, or otherwise submit comments, reviews, evaluations, suggestions, feedback, conceptual ideas, or other content on or through the Platform (collectively, the "User Content").

(b) Platform Reviews and Quality Control

For the purposes of ensuring the effective and qualitative provision of the Services and for necessary qualitycontrol, the Companymaysolicit or request Reviews fromthe User pertainingto the performance of Service Professionals. The User expressly acknowledges and agrees that Service Professionals may likewise furnish Reviews to the Company concerning the User.

2. The User shall not knowingly provide false, inaccurate, or materially misleading information within or in respect of any Reviews submitted.

3. The Company shall utilize all Reviews for internal quality control purposes and for determining, at the Company’s sole and absolute discretion, whether a User remains an appropriate participant on the Platform. Should the Company determine that a User is not an appropriate participant, the Company expressly reserves the right to immediately and without liability cancel the User’s registration and remove the User from the Platform.

(c) Grant of License to User Content: - The User hereby grants to the Company a non-exclusive, worldwide, perpetual, irrevocable, transferable, sub licensable, and royalty-free license to the User Content for the following purposes:

1. To use, publish, display, store, host, transfer, process, communicate, distribute, make available, modify, adapt, translate, and create derivative works of the User Content, as is necessary for the proper and full functioning of, and in connection with, the Services.

2. To use the User Content for the limited purposes of advertising and promoting the Services, and/or for the purpose of furnishing evidentiary support before a court, tribunal, or authority of competent jurisdiction under Applicable Laws.

(d) Waiver of Moral and Similar Rights:-In connection with these Terms and Conditions and the comprehensive licenses granted pursuant to Section (c) of this Clause, the User expressly waives any and all claims and demands arising out of any moral rights, droit de suite, or other similar rights concerning the User Content, to the fullest extent permitted by Applicable Law.

(e) Right of Removal:-The User agrees and acknowledges that the Company, at its sole discretion, reserves the right to remove, delete, or otherwise restrict access to anyUser Content that the Companydeems to be in violation of these Terms and Conditions, which action may be taken without prior notice to the User.

TERMS AND CONDITION COUSTMER (T&C)

D) CONSENT TO USE DATA

(a) Acknowledgment of Privacy Policy and Data Collection:- The User hereby agrees and acknowledges that the Company shall be entitled to collect, store, and utilize the User's Personal Data in accordance with the provisions set forth in the Company's Privacy Policy. The User affirms that they have reviewed and understood the Privacy Policy, which is accessible at “https://www.homroot.com/privacy-policy” and which delineates the categories of Personal Data collected or otherwise processed about the User and the specific manner in which such data is processed by the Company.

(b) Extended Consent for Data Sharing and Usage:-Notwithstanding and in addition to any separate consent granted by the User pursuant to the Privacy Policy, the User hereby grants express consent to the Company for the sharing of the User's information with the Company’s Affiliates and other third-party service providers. Furthermore, the Company is authorized to leverage information and data pertaining to the User's utilization of the Services for the following legitimate purposes:

I) The proper provision of the Services;

ii) Analytics and trend identification;

iii) Statistical purposes to enhance the effectiveness and efficiency of the Services; and

iv) The deployment of beneficial schemes, new offers, and user experience enhancement.

(c) Compulsory Disclosure to Regulatory and Law Enforcement Bodies:- The User understands and agrees that, subject to the requirements of applicable laws and regulations, the Company may be mandated or otherwise directed by law enforcement agencies, governmental bodies, or related regulatory authorities to disclose data pertaining to the User in connection with ongoing criminal or civil proceedings. The User consents that in such circumstances, the Company shall have the unqualified right to share such data with the relevant agencies or bodies without incurring liability.

E) BOOKINGS

(a) Order Placement and Provision of Services: - The Platform permits the User to formally raise a request for the provision of various Support Services or Master Services by a qualified Service Technician, either at a time selected bythe User based onavailable slots(Scheduled Services) or onanexpedited basis(On-Demand Services) of their own preferences as per availability shows on platform while rising the request. To initiate a booking, the User must strictly follow the instructions delineated on the Platform and furnish all requisite information. The Company shall employ commercially reasonable efforts to identify and allocate a suitable Service Technician capable of rendering the requested Service at the requested time. In the unlikely event the Company is unable to allocate a Service Technician for the specific requested timeslot, the Company reserves the right to advise the User to wait for a stipulated cooling period.

(b) Confirmation and Payment Obligation

To confirm the engagement of a Support Technician for the requested services, the Customer shall be required to pay a minimum service confirmation charge as shown on platform to Homroot on behalf of the Support Technician through the Platform. Homroot shall act solely as a limited payment collection and disbursement facilitator and shall be responsible for remitting the applicable visit charge to the Support Technician only upon successful completion of the service visit, as verified through the One-Time Password (OTP) provided by the Customer to the Support Technician after completion of the visit. In the event the Support Technician fails to arrive or perform the service as per the confirmed booking, the Customer shall be entitled to cancel the request, and any amount paid shall be refunded strictly in accordance with the Company’s Refund Policy, as published on the Platform. Where the Customer opts for or engages in any “Master Service”, it is expressly agreed and acknowledged that such service arrangement, including but not limited to scope of work, pricing, materials, timelines, quality, warranties, liabilities, disputes, or outcomes, shall be solely between the Customer and the Support Technician. Homroot shall have no responsibility, liability, or obligation whatsoever in relation to any Master Service, except to the limited extent of facilitating the initial visit and payment of the visit charge as expressly stated herein. Nothing contained herein shall be construed to create any employment, agency, partnership, joint venture, or principal–agent relationship between Homroot and any Support Technician.

1. Upon the submission of a request by the User, the Company shall provide a preliminary confirmation of the booking via an electronic communication channel, including, but not limited to, SMS, email, or a push notification.

2. Once this initial booking has been confirmed, the User shall be required to effect payment in strict accordance with these Terms or as specifically indicated on the Platform.

3. Following the successful identification and assignment of a Service Technician for the requested Master Service, the User shall receive a subsequent and final confirmation within the Platform Application or via SMS, email, or a push notification.

(c) Cancellations and Applicable Fees:- Bookings that are cancelled by the User prior to final confirmation on the Platform shall not incur any charges. The Company's established cancellation policy available at Website homroot.com shall govern and set forth all applicable cancellation fees for bookings cancelled after the final confirmation.

(d) Substitution of Service Technician :- In the event of the unavailability of, or a cancellation by, an initially selected Service Technician, the Company shall endeavor to offer the User a substitute Service Technician selected from among the Company's roster of registered Service Professionals, ensuring continuity of service provision.

E) PRICING, FEES, AND PAYMENT TERMS

(a) Right to Charge for Services and Facilities: - Homroot expresslyreserves the unilateral right to impose charges upon the User for the various Services availed and/or for any supplementary facilities or benefits accessed by the User on or via the Platform, which charges may be modified from time to time.

(b) Charges and Fees in respect of Services

1. Financial Components: In consideration for the Services sought by the User through the Platform, the User shall remit to the Service Technician the amount stipulated at the time of booking (“Charges”). These Charges shall include amounts for:

2. Any additional Master Services subsequently availed by the User;

3. Documented and verifiable out-of-pocket expenses necessarily incurred by the Service Technician; and 4. Expenses arising from the acquisition or utilization of goods required for the performance of the Master Service. In addition to the Charges payable to the Service Technician, Homroot reserves the right to impose a convenience fee for facilitating the booking process and the subsequent transfer of payments

to the Service Technician (the “Fees”). The User acknowledges and accepts that the final invoice may incorporate supplementary charges, including, without limitation, a safety fee, a warranty fee, an insurance fee, or a Service Technician welfare fee.

5. Notification and Modes of Payment: Homroot shall duly notify the User of the applicable Charges, Fees, and accepted payment methods at the time of booking. Payment for the Master Services may generally be effected via credit card, debit card, net banking, digital wallets, UPI, or cash upon the completion of the Service. Homroot retains the right to unilaterally modify, restrict, or limit the available modes of payment. The User acknowledges that certain payment methods, such as 'cash upon completion,' may not be available at all times. For the avoidance of doubt, where the User elects to remit payment via ‘cash upon completion,’ the User shall be required to tender both the Charges and the Fees to the Service Technician.

6. Time of Payment: The Charges and Fees shall be payable either at the time of initiating a booking or immediately upon the successful completion of the Service, as shall be specifically designated by Homroot.

7. Limited Collection Agent Status: For the avoidance of doubt, the User recognizes that the Charges constitute payment to the Service Technician, and Homroot acts strictly as a limited collection agent on behalf of the Service Technician for the exclusive purpose of collecting and transferring the amounts legally due to the Service Technician.

8. Taxes: All stipulated Charges and Fees are inclusive of all applicable taxes.

9. Amendment of Rates: Homroot reserves the right to reasonablyamend the Charges and Fees at any time, exercisable at its sole discretion. Notwithstanding such right, any alteration to the Fees shall not impact bookings that have been formally confirmed prior to the publication of the revised Fees on the Platform.

10. Finality of Payment and Refunds: The Charges and Fees tendered by the User are deemed final and non-refundable, save and except as otherwise explicitly determined by Homroot or mandated by applicable statutory or regulatory requirements.

11. Variability Due to Demand: The User acknowledges and agrees that Charges and Fees applicable in certain geographical territories may be subject to substantial increases during periods of elevated demand. While Homroot shall employ commercially reasonable efforts to inform the User of potentially applicable Charges and Fees, the User shall remain strictly liable and fully responsible for all Charges and Fees incurred under their Account, irrespective of the User's explicit awareness of such Charges or Fees.

(c) Utilization of Payment Processors:- The Company may engage the services of a third-party payment processor (“Payment Processor”) to facilitate the billing of the User through the User's selected mode of payment. The processing of all payments shall be governed by the terms and policies of such Payment Processor, in addition to these Terms. The Company shall not be held liable for any errors, omissions, or malfunctions attributable to the Payment Processor. In the event of an unsuccessful payment transaction, any monies debited shall be credited in strict adherence to the terms and policies of the respective Payment Processor.

(d) Cancellation by User:- The User may elect to cancel their request for Services from a Service Technician at any time prior to the Service Technician’s physical arrival; however, the User may incur a cancellation fee as prescribed by and in accordance with Homroot’s established cancellation policy. Homroot retains the right to impose such a charge upon the User or to otherwise deduct applicable taxes in respect of the said cancellation fee.

(e) Subscription Packages:- Homroot may periodically offer subscription packages (irrespective of nomenclature) for valuable monetary consideration. Such packages shall provide Customers with supplemental benefits, which may include the right to avail discounted Master Services. The User agrees and acknowledges that such subscription packages shall be governed by additional terms and conditions that shall be deemed an integral part of these Terms.

(f) Exclusion of Gratuity Designation:- Homroot explicitly does not designate any portion of the User’s payment as a tip or gratuity intended for the Service Technician. Any representation by Homroot suggesting that tipping is “voluntary,” “not required,” and/or “included” in the payments made for Master Services is not intended to imply that Homroot furnishes any supplemental payments to the Service Technician. The User understands and agrees that while they retain the unfettered discretion to provide additional payment as a gratuity to any Service Technician, there is no obligation to do so, and all gratuities remain voluntary.

(g) Clarification Regarding Scope of Normal Service:-For the avoidance of doubt, the Normal Service shall be construed as a visit solely for the purpose of problem identification and suggestion provision by the Service Technician. Any further engagement, subsequent work, material procurement, or additional charges requested by the Service Technician is solely dependent upon the will and requirements of the Customer, and the Company bears no responsibility or role subsequent to the initial problem identification. Should the Customer desire further assistance after the Service Technician identifies the problem, the final decisions must rest with the Customer. Any further charges, material costs, or other requirements specified by the Service Technician must be verified by the Customer. Furthermore, prior to opting for the Service Technician, the Customer is mandated to verify whether the Service Technician’s work is provided with or without material included.

(h) Scope of Company Charges:-For the avoidance of doubt, Homroot’s charges to the Customer are exclusively for the Normal Service, and are subject to and in accordance with Clause (g) of this Section.

F) CUSTOMER CONDUCT

(a) Prohibition of Discrimination:- The User is hereby expressly prohibited from engaging in any form of discrimination against any Service Technician, including, but not limited to, discrimination based on categories such as race, religion, caste, national origin, disability, sexual orientation, sex, marital status, gender identity, age, or any other characteristic protected under applicable law. Such prohibited discrimination includes, without limitation, any refusal to accept the provision of Master Services predicated upon any of these characteristics.

(b) Standards of Conduct and Service Environment

1. Courtesy and Respect: The User is required to treat all Service Technicians with courtesy and respect and shall provide the Service Technician with a safe, clean, and appropriate location for the satisfactory performance of the Master Services.

2. Right of Refusal by Service Technician: The Service Technician retains the absolute right to refuse to perform the Master Services if the User has failed to furnish a safe, clean, and appropriate location, or if the User's conduct towards the Service Technician is deemed discourteous, disrespectful, abusive, or otherwise inappropriate.

3. Company’s Right to Limit Access: The Company reserves the right to permanently or temporarily withhold access to the Services and otherwise limit the User's access to Master Services, exercisable at the Company's absolute discretion, if the User exhibits behavior towards any Service Technician that is discourteous, disrespectful, or abusive, or which the Company otherwise determines to be inappropriate or unlawful.

(c) User Liability and Duty of Disclosure:-The User agrees and acknowledges that they shall be held liable for any act of discriminating against a Service Technician, or for any failure, whether intentional or unintentional, to provide the Service Technician with a safe, clean, and appropriate location necessary for the performance of the Master Services. Furthermore, the User is obligated to fully and accurately disclose any and all information to both Homroot and the assigned Service Technician that may potentially have a bearing on the Service Technician’s ability to perform the Master Services, or which may impact the Service Technician’s health, safety, or well-being.

(d) Obligation to Report Service Technician Misconduct:-The User agrees that in the event a Service Technician engages in conduct that is discourteous, disrespectful, abusive, inappropriate, or in violation of the law, the User shall be required to formally report such incident to the Company via email at contact@homroot.com at the earliest practical opportunity, but in no event later than forty-eight (48) hours following the occurrence of such incident.

e) TECHNICIAN ENTRY PROTOCOL AND CUSTOMER RESPONSIBILITY: THE CUSTOMER SHALL ENSURE THAT A MINIMUM OF TWO (2) ADULT PERSONS ARE PRESENT AT THE PROPERTY DURING ANY TECHNICIAN VISIT ARRANGED THROUGH HOMEROOT.IN PARTICULAR, IF ONLY ONE INDIVIDUAL IS PRESENT AT THE PROPERTY, OR IF A LADY IS ALONE AT THE PREMISES, THE TECHNICIAN SHALL NOT BE PERMITTED TO ENTER THE PROPERTY UNDER ANY CIRCUMSTANCES.IF THE CUSTOMER NEVERTHELESS ALLOWS THE TECHNICIAN TO ENTER THE PREMISES WITHOUT MEETING THE ABOVE REQUIREMENT, SUCH PERMISSION SHALL BE DEEMED TO BE GIVEN SOLELY AT THE CUSTOMER’S RISK AND DISCRETION. IN SUCH CASES, HOMEROOT SHALL NOT BE LIABLE, ACCOUNTABLE, OR LEGALLY BOUND FOR ANY INCIDENT, INCONVENIENCE, DAMAGE, LOSS, DISPUTE, OR CLAIM ARISING FROM THE TECHNICIAN’S ENTRY OR THE EXECUTION OF WORK.

ALL RESPONSIBILITY—LEGAL, PERSONAL, OPERATIONAL, AND SAFETY-RELATED— SHALL REST ENTIRELY AND EXCLUSIVELY WITH THE CUSTOMER.

G) YOUR RESPONSIBILITIES

(a) Representations and Warranties Regarding User Information :- The User represents and warrants that all information furnished in connection with the Services and Master Services is complete, true, and correct as of the execution date of these Terms and shall remain so for the duration of the User's utilization of the Services and/or Master Services. The User undertakes to immediately notify the Company of any change in the information provided during the existence of these Terms. The Company disclaims all responsibility and liability for any loss or damage incurred bythe User resulting fromany information, documentation, material, or data provided to avail the Services being incorrect, incomplete, inaccurate, or misleading, or from the User’s failure to disclose any material fact.

(b) Duty to Cooperate in Defense:-The User shall extend full cooperation to the Company in the defense of any legal or administrative proceedings that may be initiated against the Company arising from a breach of the User's obligations or covenants stipulated within these Terms.

(c) Representations and Warranties Regarding User Content:- In respect of any content submitted, posted, or otherwise made available by the User (“User Content”), the User represents and warrants the following:

i) Intellectual Property Rights: The User possesses all requisite intellectual property rights (or has secured all necessary licenses and permissions) to furnish the User Content and to grant the licenses set forth in these Terms.

ii) Account Responsibility: The User is solely responsible and liable for all activities conducted on or through their account on the Platform and for all User Content.

iii)Contractual Compliance: The User Content does not and shall not violate any of the User’s obligations or responsibilities under any other agreements.

iv)Third-Party Rights: The User Content does not and shall not violate, infringe upon, or misappropriate any intellectual property right or other proprietary right, including the right of publicity or privacy, of any natural or legal person or entity.

v) Malicious Content: The User Content does not and shall not incorporate any viruses, corrupted data, or other harmful, disruptive, or destructive files, content, or computer code.

vi)General Third-Party Rights: The User Content does not and shall not violate any rights of any third party.

vii) Compliance with Law and Policy: The User Content: a) Does not pertain to any other person to which the User does not possess a right; b) Does not threaten the unity, integrity, defense, security, or sovereignty of India, friendly relations with foreign states, public order, cause incitement to the commission of any cognizable offense, prevent investigation of any offense, or constitute an insult to any other nation; c) Is not defamatory, grossly harmful, blasphemous, pedophilic, invasive of another’s privacy, discriminatory based on gender, ethnically objectionable, disparaging, relating to, or encouraging money laundering or gambling, libelous, hateful, racist, violent, obscene, pornographic, unlawful, or harmful to children; or d) Is not otherwise offensive, objectionable, or restrictive, or does not inhibit, any other person from using or enjoying the Services.

(d) Restrictions on Use of Services:- The User shall not utilize the Services in any manner except as explicitly permitted within these Terms. Without restricting the generality of the foregoing, the User shall not:

i) Infringe Proprietary Rights: Infringe any proprietary rights, including but not limited to copyrights, patents, trademarks, or trade secrets of any party;

ii) Unauthorized Replication: Except as provided herein, copy, display, distribute, modify, publish, reproduce, store, transmit, post, translate, create any derivative works from, or license the Services;

iii) Transmit Malware: Use the Services to transmit any data, or send or upload any material that contains viruses, Trojanhorses, worms, time bombs, keystroke loggers,spyware,adware, or anyother harmful programs,or similar computer code, designed to adversely affect the operation of any computer software or hardware;

iv) Automated Monitoring: Employ any robot, spider, other automated device, or manual process to monitor or copy the Services or any portion thereof;

v) Systematic Retrieval: Engage in the systematic retrieval of content from the Services to create or compile, directly or indirectly, a collection, compilation, database, or directory;

vi) Improper Use: Use the Services in (A) any unlawful manner, (B) for fraudulent or malicious activities, or (C) in any manner inconsistent with these Terms;

vii) Reverse Engineering: Decompile, reverse engineer, or disassemble the Services;

viii) Unauthorized Linking: Link to, mirror, or frame any portion of all or any of the Services; or

ix) Violate Law: Violate applicable laws in any manner.

(e) Interference with Services:-The User warrants that they shall not engage in any activity that interferes with or disrupts the functionality, security, or integrity of the Services.]

(f) Unauthorized Access:-The User shall not attempt to gain unauthorized access to any portion or feature of the Services, any other systems or networks connected to the Services, to any of the Company’s servers, or through the Platform by hacking, password mining, or any other illegitimate means.

(g) Non-Solicitation of Service Technicians:-The User shall not directly or indirectly, in any capacity, solicit, attempt to influence, engage, approach, or accept or encourage the solicitations or approach of, a Service Technician from whom the User has availed Master Services, for the purpose of either terminating or otherwise ceasing their registration on or engagement with the Platform, or for the purpose of availing services identical or similar to the Master Services independently, without booking the Master Services through the User’s Account at the working location.

The User expressly agrees that this limitation constitutes a reasonable and fair restriction necessary for the protection of the privacy and security of Service Technicians, and that this covenant shall not prevent the User from obtaining services identical or similar to the Normal Services through the Platform or by other means. The User further agrees that any potential harm to Service Technicians resulting from the non-enforcement of this clause far outweighs any potential harm to the User.

H) OUR INTELLECTUAL PROPERTY

(a) Ownership and Limited License: - All rights, title, and interest in and to the Services, including all intellectual property rights arising therefrom, are and shall remain the exclusive property of, or are otherwise duly licensed to, the Company. Subject to the User’s complete compliance with the provisions of these Terms, the Company hereby grants the User a non-exclusive, non-transferable, non-sub licensable, revocable, and limited license to utilize the Services strictly in accordance with these Terms and any written instructions issued by the Company from time to time. All rights not expressly granted to the User herein are expressly reserved by HOMROOT or HOMROOT’s licensors.

(b) Ownership and Use of Feedback: - The Company may, from time to time, request the User to submit suggestions, improvements, or other feedback, including reports concerning defects or errors, relating to the Services (“Feedback”). The User hereby grants the Company a perpetual, irrevocable, worldwide, royalty-free, and fully sub-licensable right and license to freely use, copy, disclose, publish, display, distribute, and exploit any and all Feedback received from the User for any purpose whatsoever, without any obligation for payment of royalty, attribution, acknowledgment, prior consent, or any other form of restriction arising out of the User’s intellectual property rights.

(c) Construction of Terms:-Except for the limited license explicitly granted in Clause (a) of this Section, nothing contained within these Terms shall be construed as conferring any right in, or license to, the intellectual property rights of the Company or any third party.

I) this final clause, TERM AND TERMINATION, is the standard legal mechanism for defining the lifespan of the agreement and the conditions under which either party can end the contract.

🛑 TERM AND TERMINATION

(a) Duration of Agreement:-These Terms shall commence upon the User’s acceptance and shall remain in full force and effect until terminated in strict accordance with the provisions set forth hereunder.

(b) Termination by the Company:-The Company reserves the right to restrict, deactivate, or terminate the User's access to, or use of, the Services, or any portion thereof, under the following conditions:

1. Immediate Termination (At Sole Discretion): Immediately and at any point, exercisable at the Company’s sole discretion, if:

o (A) The User violates or breaches any of the obligations, responsibilities, or covenants established under these Terms;

o (B) The User ceases to be a user of the Services;

o (C) The User does not, or is deemed likely not to, qualify under applicable law, or the standards and policies of HOMROOT or its affiliates, to access and use the Services; or

o (D) The User violates or breaches the established Community Guidelines.

2. Termination upon Notice: Upon providing Fifteen (15) days’ prior written notice to the User.

3. Immediate Termination for Cause: Immediately for any legitimate business, legal, or regulatory reason.

(c) Termination by the User: - The User may terminate these Terms, at any time and for any reason, by submitting a written notice of termination to the Company via email at contact@homroot.com.

(d) Consequences of Termination: - Upon the termination or expiry of these Terms for any reason:

i) The User's Account will expire and become inaccessible;

ii) All active Services will “time-out” and cease to function; and

iii) These Terms shall terminate, with the exception of those clauses that are expressly intended, or by necessary implication intended, to survive such termination or expiry.

J) DISCLAIMERS AND WARRANTIES

(a) Service Provision "As Is":- The Services are furnished to the User strictly on an “AS IS” and “AS AVAILABLE” basis, and without any warranty whatsoever, whether express, implied, statutory, or otherwise, including, without limitation, the implied warranties of title, non-infringement, merchantability, or fitness for a particular purpose. Without limiting the foregoing, the Company makes no warranty, representation, or guarantee that the Services will meet the User’s specific requirements or expectations.

(b) Limitation on Verbal Warranties:- No advice or information, whether conveyed orally or in writing, obtained by the User from the Company shall be construed as creating any warranty that is not expressly and unequivocally stated within these Terms.

(c) Acknowledgment of Pricing Errors: - While Homroot endeavors to provide accurate information regarding Normal Services and Charges, the User agrees and acknowledges that pricing errors may occur from time to time.

(d) Limitation of Liability as a Platform (Intermediary)

1. Platform Status: The User agrees and acknowledges that the Company operates merely as a Platform connecting the User with Service Technicians, and the Company shall not be liable in any manner for any obligations that have not been explicitly set forth in these Terms.

2. Exclusion of Service Liability: The Company is not liable or responsible for the successful fulfillment of any bookings, for the actual performance of the Master Services by any Service Technician, or for any acts or omissions of the Service Technician during their provision of the Master Services, including any damage they may cause to property.

3. Contractual Relationship: By booking Master Services through the Platform, the User is entering into a direct contract with the relevant Service Provider for the provision of those services, and the Company accepts no responsibility or liability, nor does it make any warranty, representation, or guarantee in respect of the Service Technician’s performance under that separate contract.

(e) Waiver for Independent Engagement:- The User expressly agrees and acknowledges that soliciting or receiving services from any Service Technician independently (outside the Platform) is solely at the User’s own risk, and in such an event, the User waives any and all rights that may otherwise be available under these Terms.

(f) Reliability of Service Technician:-The Company makes no guarantee, warranty, or representation whatsoever regarding the reliability, quality, or suitability of the Service Technician.

(g) Acceptance of Responsibility for Service Use:- The User hereby accepts full and sole responsibility for any consequences that may arise from their use of the Normal Services and Master Services, and expressly agrees and acknowledges that the Company shall bear absolutely no liability in this regard.

(h) Complaints Management: - Homroot shall maintain a complaints management framework and shall manage this framework on behalf of the Service Technician in a commercially reasonable manner and in strict accordance with the non-excludable requirements of relevant applicable laws.

(i) General Exclusion of Liability:-To the fullest extent permissible by law, the Company, its affiliates, and its related parties, individually and collectively, hereby disclaim all liability for any loss or damage arising out of, or due to:

i)The User's use of, inability to use, or availability or unavailability of the Normal Services or the Master Services;

ii) The occurrence or existence of any defect, interruption, or delays in the operation or transmission of information to, from, or through the Services, communications failure, theft, destruction, or unauthorized access to the Company's records, programs, services, servers, or other infrastructure relating to the Services;

iii) The failure of the Services to remain operational for any period of time; and

iv) The loss of any User Content and any other data in connection with the User's use of the Services.

(j) Exclusion of Certain Damages:-In no event shall Homroot, its officers, directors, and employees, or its contractors, agents, licensors, partners, or suppliers, be liable to the User for any direct, special, indirect, incidental, consequential, punitive, reliance, or exemplary damages (including without limitation, lost business opportunities, lost revenues, or loss of anticipated profits or any other pecuniary or non-pecuniary loss or damage of any nature whatsoever, including but not limited to any abuse or breach of data), even if Homroot or an authorized representative has been advised of the possibility of such damages, arising out of, or relating to (A) these Terms, (B) the Normal Services or the Master Services, (C) the User's use or inability to use the Normal Services or the Master Services, or (D) any other interactions with another user of the Services.

(k) Limitation on Maximum Aggregate Liability:-To the maximum extent permitted by law, the Company’s liability shall be strictly limited to the amount of commission received by the Company in respect of the particular booking that gave rise to the claim. If there is no commission is taken by company the company shall not entertain any claim or liability .In no event shall the total aggregate liability of the Company to the User in connection with these Terms exceed INR 1000 (Rupees One Thousand).

(l) Non-Excludable Statutory Warranties:- Notwithstanding any other provision herein, nothing in these Terms will exclude or limit any warranty or liability that cannot be lawfully excluded or limited under applicable law.

K) INDEMNIFICATION, GOVERNING LAW, AND DISPUTE RESOLUTION

(a) User Indemnification:- The User agrees to indemnify, defend, and hold harmless Homroot, its affiliates, licensors, directors, officers, employees, agents, and Service Technicians (collectively, the "Indemnified Parties") from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorney's fees) (collectively, "Losses") arising out of or relating to:

1. Breach of Terms: Any breach or violation by the User of any term, condition, representation, warranty, or covenant contained in these Terms.

2. User Content: The User Content, including any claim that the User Content infringes upon the intellectual property rights or other proprietary rights of any third party.

3. Misuse of Services: The User's unauthorized or unlawful use of the Services or Master Services.

4. Third-Party Claims: Any claim made by a third party, including a Service Technician, arising out of or related to the User's actions or omissions during the engagement of Master Services.

5. Violation of Law: The User's violation of any applicable law, rule, or regulation.

(b) Governing Law and Jurisdiction:- These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflicts of law principles. Subject to the provisions of the Arbitration clause below, the courts in Surat, Gujarat shall have exclusive jurisdiction to resolve any dispute arising out of or relating to these Terms.

(c) Dispute Resolution and Arbitration

1. Amicable Resolution: In the event of any dispute, claim, controversy, or difference (“Dispute”) arising between the parties concerning these Terms, the parties shall first attempt to resolve the Dispute amicably through good-faith discussions within thirty (30) days of one party notifying the other of the Dispute.

2. Binding Arbitration: If the parties are unable to resolve the Dispute amicably within the specified period, the Dispute shall be referred to and finally resolved by binding arbitration in accordance with the provisions of the Arbitration and Conciliation Act, 1996, or any statutory re-enactment or modification thereof for the time being in force.

3. Arbitration Details:

o Sole Arbitrator: The arbitration shall be conducted by a sole arbitrator mutually appointed by the parties. If the parties fail to agree on a sole arbitrator within fifteen (15) days of the request for arbitration, the appointment shall be made in accordance with the Arbitration and Conciliation Act, 1996.

o Seat and Venue: The seat and venue of the arbitration shall be Surat, Gujarat India. o Language: The language of the arbitration shall be English.

o Enforcement: The arbitral award shall be final and binding upon both parties.

(b) Resolution Timeline: - The Company undertakes to ensure that any valid complaint registered by the User is resolved within the timelines strictly prescribed by applicable laws governing consumer protection and digital platforms.

This section, MISCELLANEOUS PROVISIONS, contains the standard, non-substantive, but legally vital, "boilerplate" clauses that protect the contractual framework.

M) MISCELLANEOUS PROVISIONS

(a) Changes to Terms: - These Terms are subject to revisions at any time as solely determined by the Company, and all changes shall become effective immediately upon being posted on the Platform. It shall be the User's sole responsibility to review these Terms periodically for any updates or changes. The User shall be deemed to have irrevocably accepted any and all changes made to these Terms if the User continues to use the Platform subsequent to the posting of such changes.

(b) Modification to the Services:- The Company reserves the absolute right at any time to add, modify, or discontinue, either temporarily or permanently, the Services (or any part thereof), with or without cause and without prior notice. The Company shall not be liable for any such addition, modification, suspension, or discontinuation of the Services.

(c) Severability:- If any provision of these Terms is determined by any court of competent jurisdiction or other competent authority to be unlawful, void, or unenforceable, the remaining provisions of these Terms will continue in full force and effect. Furthermore, if any unlawful or unenforceable provision would be lawful or enforceable if a part of it were deleted, that part will be deemed to be deleted, and the remainder of the provision will continue in effect (unless such deletion would contradict the clear intention of the clause, in which case the entirety of the relevant provision will be deemed to be deleted).

(d) Assignment:-The User shall not license, sell, transfer, or assign their rights, obligations, or covenants under these Terms, or their Account, in any manner whatsoever without the Company's prior written consent. The Company may grant or withhold this consent at its sole discretion, subject to any conditions the Company deems appropriate. The Company reserves the right to freely assign its rights to any of its affiliates, subsidiaries, or parent companies, any successor in interest of any business associated with the Services, or any third party without any prior notice to the User.

(e) Notices:-All formal notices, requests, demands, and determinations intended for the Company under these Terms (other than routine operational communications) shall be communicated via email to: contact@homroot.com.

(f) Third Party Rights: - No third party shall possess any right to enforce any terms or conditions contained within these Terms.

(g) Force Majeure:- The Company shall incur no liability to the User if the Company is prevented from or delayed in performing its obligations, or from carrying on its business, by acts, events, omissions, or accidents beyond the Company's reasonable control, including, without limitation, strikes, failure of a utility service or telecommunications network, act of God, war, riot, civil commotion, malicious damage, or compliance with any law or governmental order, rule, regulation, or direction.
